IMPORTANT NOTICE – ARBITRATION & CLASS ACTION WAIVER

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION PROVISION AND A CLASS ACTION WAIVER. YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM.

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your subscription to and use of the AI Boss 360 platform (the “Platform”) and related services.

By:

• Creating an account

• Completing registration

• Accessing or using the Platform

You represent and warrant that:

1. You have read and agree to these Terms

2. You are at least 18 years old

3. You have authority to bind your business entity (if applicable)

4. All information you provide is accurate

These Terms, together with our Privacy Policy and any applicable Data Processing Agreement (“DPA”), form a binding legal agreement between you and:

Sprout Bids, Inc.
(“AI Boss 360,” “Company,” “we,” “us,” or “our”).

If you do not agree, do not use the Platform.

2. Platform Role & No Agency Relationship

AI Boss 360 is a technology platform provider.

We provide:

• CRM software

• Automation tools

• AI tools

• Communication infrastructure

• Website and funnel tools

We do not:

• Act as your agent

• Initiate communications on your behalf

• Control the content you send

• Provide legal, tax, or compliance advice

You are solely responsible for your business operations and customer interactions.

3. Platform Accounts & Ownership

You must provide accurate registration information.

The individual accepting these Terms is the owner of the Platform Account unless acting on behalf of a business entity.

In ownership disputes, AI Boss 360 may request documentation including:

• Payment records

• Government business filings

• Legal orders

We are not obligated to arbitrate disputes between private parties and may suspend accounts pending resolution.

4. Acceptable Use & Restrictions

You agree not to:

• Violate any law or regulation

• Reverse engineer or copy the Platform

• Use the Platform to compete directly with AI Boss 360

• Engage in spam, fraud, phishing, or deceptive marketing

• Send communications without proper consent

• Misrepresent AI Boss 360 or imply partnership

We reserve the right to suspend or terminate accounts engaging in prohibited conduct.

5. Telecommunications & Marketing Compliance

You are solely responsible for compliance with:

• TCPA

• CAN-SPAM

• CASL

• GDPR

• CCPA

• State telemarketing laws

• Carrier registration requirements (including A2P/10DLC)

• Any other applicable communication laws

You represent and warrant that:

• You have obtained all required consents

• You maintain records of consent

• You comply with all registration and licensing requirements

AI Boss 360 does not verify consent and is not liable for unlawful communications sent through the Platform.

6. AI Features & Disclosures

The Platform may include AI-powered features.

You acknowledge:

• AI outputs may be inaccurate

• AI outputs require human review

• AI features are provided “AS IS”

• AI is not professional advice

• You must disclose AI usage where required by law

You agree not to:

• Input sensitive PHI or highly confidential data

• Use AI for unlawful or discriminatory purposes

• Use AI for automated decisions with legal or significant impact

Your use of AI features is at your own risk.

7. Third-Party Services

The Platform may integrate third-party services.

You:

• Authorize data sharing necessary for integrations

• Agree those services are governed by their own terms

• Assume risk of outages or data changes

We are not responsible for third-party services.

8. Fees, Billing & Auto-Renewal

Subscription Fees

Subscriptions auto-renew unless canceled.

You authorize automatic billing to your payment method.

Usage-Based Fees

Communication or usage fees may apply and are billed separately.

Non-Payment

Failure to pay may result in:

• Account suspension

• Termination

• Collections

All fees are non-refundable unless required by law.

9. Taxes

You are responsible for:

• Determining applicable taxes

• Collecting and remitting taxes

• Compliance with VAT/GST laws

We may collect required taxes where applicable.

10. Intellectual Property

The Platform and all software, content, branding, and materials are owned by Sprout Bids, Inc.

You receive a limited, revocable, non-exclusive license to use the Platform during your subscription.

You may not:

• Copy

• Resell

• Distribute

• Modify core platform code

11. User Content

You retain ownership of content you upload.

You grant us a limited license to use your content solely to provide the Platform.

You represent and warrant that:

• You have rights to all content uploaded

• Your content does not violate laws or third-party rights

We may remove content violating these Terms.

12. Data Responsibilities

You are solely responsible for:

• Data subject rights requests

• Data retention compliance

• Responding to privacy complaints

• Breach notifications required by law

We act as a processor for customer data.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES INCLUDING:

• MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

We do not guarantee:

• Business success

• Revenue

• Uninterrupted service

• Error-free operation

14. Limitation of Liability

To the maximum extent permitted by law:

AI Boss 360’s total liability shall not exceed the amount paid by you in the three (3) months preceding the claim.

We are not liable for:

• Indirect damages

• Lost profits

• Data loss

• Third-party service disruptions

15. Indemnification

You agree to indemnify and hold harmless Sprout Bids, Inc. from claims arising from:

• Your use of the Platform

• Communications sent

• Legal violations

• Data privacy violations

• AI usage

• Customer disputes

16. Termination

We may suspend or terminate accounts:

• For breach of these Terms

• For non-payment

• For unlawful activity

Upon termination:

• Access ceases immediately

• Data may be deleted after 90 days

17. Limitation on Claims

Any claim must be brought within three (3) months of the event giving rise to the claim.

18. Governing Law & Arbitration

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

All disputes shall be resolved through binding arbitration administered by the American Arbitration Association in Dallas, Texas.

Class Action Waiver

All claims must be brought individually.
No class or consolidated actions are permitted.

19. Export Controls & Sanctions

You may not use the Platform if:

• You are located in a sanctioned jurisdiction

• You are on any restricted party list

You agree to comply with all U.S. export control laws.

20. Changes to Terms

We may update these Terms at any time.

Continued use constitutes acceptance.
